Terms of Service

These Terms of Service ("Terms") govern your use of the Kaufmann Health platform (the "Platform") by clients seeking practitioners and by practitioners offering services through the Platform. By using the Platform, you agree to these Terms.

1. Platform Operator

The Platform is operated by:

2. Service Description

(1) The Platform is an online service that (a) operates a modality-specialized directory of body psychotherapy practitioners and (b) provides practice software (including online booking, video sessions, invoicing, and payment processing) to practitioners on a software-as-a-service basis.

(2) "Practitioners" are independent providers of body-oriented therapeutic services trained in modalities such as NARM, Somatic Experiencing, Hakomi, or Core Energetics. Practitioners may hold credentials such as Heilpraktiker für Psychotherapie (Germany), licensed psychotherapist credentials in their jurisdiction, or recognized modality-specific certifications. Practitioners practice independently within the scope of their credentials and applicable law.

(3) "Clients" are individuals who use the Platform to find and contact practitioners.

(4) The Platform offers orientation, search, and quality screening of practitioner profiles. The Platform does not provide therapy, medical advice, diagnosis, or treatment. Therapeutic relationships and treatment agreements form exclusively between Client and Practitioner.

3. Registration and Use

(1) Use of the Platform by Clients is free of charge.

(2) Practitioners may use a free base profile or subscribe to paid tiers (e.g., Practice Starter, Practice Pro). Current pricing and tier features are listed at kaufmann-health.com/for-practitioners.

(3) You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials.

4. Quality Screening

Before admitting a practitioner, the Platform reviews their credentials. Review includes:

  • Validity of relevant licenses or certifications (where applicable to the jurisdiction)
  • Evidence of training in the modalities the practitioner offers
  • Consistency with the Platform's stated quality standards

The Platform does not guarantee treatment outcomes or the professional suitability of any individual practitioner. Clients are responsible for evaluating whether a practitioner is right for them.

5. Fees and Payment

(1) For Clients: Use of the Platform is free. Session fees are agreed directly between Client and Practitioner.

(2) For Practitioners: Subscription fees for paid tiers are billed monthly in advance. When session payments are processed through the Platform, Stripe processing fees are passed through to the Practitioner. Current pricing is published at kaufmann-health.com/for-practitioners.

(3) Tax treatment. Kaufmann Earth LLC is a US entity. Practitioners are responsible for any value-added tax, sales tax, or other taxes applicable in their own jurisdiction on subscription fees or commissions. Where reverse-charge rules apply (e.g., for German business customers under § 13b UStG), the Platform issues invoices net of VAT and the Practitioner self-accounts for the tax.

6. User Obligations

(1) All users agree to use the Platform solely for the purposes set forth in these Terms and not to:

  • post false, misleading, or unlawful content
  • distribute illegal, defamatory, or otherwise unlawful material
  • infringe the rights of third parties (including privacy, intellectual property, or trademark rights)
  • create fake profiles, send spam, or register multiple accounts to circumvent restrictions

(2) Practitioners additionally agree to:

  • provide complete and truthful registration and profile information
  • ensure they are legally authorized to provide the services they offer (including valid licenses, certifications, or other qualifications applicable to their jurisdiction)
  • maintain in force professional indemnity / liability insurance appropriate to the services offered, in accordance with the requirements of their jurisdiction
  • promptly update changes to practice address, credentials, or other material information
  • comply with applicable professional standards, confidentiality duties, and data protection requirements when communicating with Clients

(3) Clients additionally agree to:

  • provide truthful information in inquiries and bookings
  • use the Platform exclusively for personal use and to initiate genuine therapeutic contact
  • send inquiries only when sincerely interested in working with a practitioner

7. Platform Rights

The Platform reserves the right, in case of breach of these Terms, to:

  • remove content in whole or in part
  • suspend or permanently terminate user accounts
  • pursue damages where legally available

8. Disclaimer and Limitation of Liability

(1) The Platform is not a healthcare provider. The Platform does not offer therapy, medical advice, diagnosis, or treatment. Nothing on the Platform constitutes professional medical or mental health advice. If you are in crisis or experiencing a medical or psychiatric emergency, contact emergency services immediately.

(2) No therapeutic relationship is formed with the Platform.Treatment agreements form exclusively between Client and Practitioner. Any claims arising from a treatment relationship must be brought against the Practitioner, not the Platform.

(3) The Platform is not responsible for the accuracy, completeness, or currency of content posted by Practitioners (including profiles, qualifications, and session descriptions). Practitioners are solely responsible for their own content.

(4) To the maximum extent permitted by applicable law, the Platform's aggregate liability for any claim arising out of or in connection with these Terms or your use of the Platform is limited to the greater of (a) the fees you have paid to the Platform in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) five hundred US dollars (USD 500).

(5) The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such warranties cannot be lawfully disclaimed.

(6) Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

(7) Where the Platform provides ancillary functions such as scheduling, payment processing, or invoicing, it does so as a technical intermediary on behalf of the relevant party. The Platform does not thereby become party to the underlying treatment relationship.

(8) Release. To the maximum extent permitted by applicable law, you release Kaufmann Earth LLC and its affiliates, officers, employees, and agents from any claim, demand, or damages arising out of or in connection with any act, omission, advice, treatment, or service of any Practitioner accessed via the Platform. This release does not apply to claims for which release is prohibited by applicable law, including (without limitation) the mandatory consumer-protection rights described in Section 13(3) and the carve-out for sexual-misconduct claims described in Section 13(7).

9. Intellectual Property

All rights in the Platform, including its software, design, content (other than user- submitted content), and trademarks, belong to Kaufmann Earth LLC or its licensors. Reproduction or commercial use without prior written permission is prohibited.

By submitting content to the Platform (such as your profile, photo, or session description), you grant Kaufmann Earth LLC a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as necessary to operate the Platform.

10. Privacy

Personal data is processed in accordance with our Privacy Policy, which forms part of these Terms.

11. Term and Termination

(1) The Terms apply for an indefinite period.

(2) Clients may terminate their account at any time without notice.

(3) Practitioners on a paid subscription may cancel effective at the end of the current billing period (typically monthly). Practitioners on the free base profile may terminate with one month's notice.

(4) The Platform may terminate for cause without notice, including for material breach of these Terms.

(5) Client wind-down. Where the Platform terminates a Practitioner's account, Client bookings already on the calendar within the next fourteen (14) days will be honored, except where immediate suspension is required by safety concerns, fraud, regulatory order, or other urgent grounds. Where immediate suspension applies, the Platform will use reasonable efforts to notify affected Clients and assist with re-matching.

12. Changes to These Terms

The Platform may amend these Terms with at least thirty (30) days' notice by email to registered users. If you do not object in writing within the notice period, the amended Terms will take effect. If you object, your account may be terminated at the effective date of the change.

13. Governing Law and Disputes

(1) These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

(2) Before initiating any formal proceeding, the parties agree to attempt good-faith informal resolution by contacting hello@kaufmann-health.com and allowing thirty (30) days for response.

(3) EU/UK consumers. If you are a consumer habitually resident in the European Union, European Economic Area, or United Kingdom, nothing in these Terms deprives you of the protection of mandatory provisions of consumer-protection law of your country of residence. You may bring proceedings in the courts of your country of residence, and the mandatory consumer-protection law of that country applies to the extent it provides protections greater than New York law. All other provisions of these Terms continue to apply.

(4) Subject to Section 13(3), any dispute that cannot be resolved informally is subject to the exclusive jurisdiction of the state and federal courts located in Madison County, New York, USA, for disputes between the Platform and Practitioners.

(5) For German business customers, the Platform has appointed an authorized recipient for service of process. The recipient's identity and address are available in the Imprint.

(6) Class-action waiver; jury-trial waiver. To the maximum extent permitted by applicable law, the parties waive any right to trial by jury and agree that claims under or relating to these Terms may be brought only individually, and not as part of any class, collective, consolidated, or representative action. This Section 13(6) does not apply to (a) claims described in Section 13(7), or (b) any claim a consumer is entitled to bring on a collective basis under mandatory consumer- protection law of their country of residence.

(7) Sexual misconduct carve-out. Notwithstanding any other provision of these Terms, claims alleging sexual assault or sexual harassment are not subject to the dispute-resolution procedures, class-action waiver, or forum-selection clause of these Terms and may be brought in any court of competent jurisdiction. This provision reflects the federal Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (Pub. L. 117-90).

(8) EU online dispute resolution. The European Commission operates an online dispute resolution platform at ec.europa.eu/consumers/odr. We are not obligated and not willing to participate in consumer arbitration proceedings before a consumer arbitration board.

14. Consumer Withdrawal Rights (EU/UK)

(1) Consumers resident in the EU or UK have a 14-day right of withdrawal from contracts for paid services concluded online. To exercise this right, email hello@kaufmann-health.com within 14 days of contract formation. A model withdrawal form is available on request.

(2) The right of withdrawal expires if the service has been fully performed before the withdrawal period ends with the consumer's express prior consent.

15. Miscellaneous

(1) If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.

(2) These Terms, together with the Privacy Policy and any tier-specific or practitioner-specific terms referenced from your account, constitute the entire agreement between you and the Platform regarding the subject matter.

(3) The Platform may assign these Terms or any of its rights and obligations without your prior consent in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.

(4) Practitioners using practitioner-specific features (e.g., the Practice Starter or Practice Pro tiers) are also bound by the Practitioner Terms, which apply in addition to these Terms.
